NOTICE OF FINAL ADOPTION OF ORDINANCE

NOTICE IS HEREBY GIVEN that the foregoing ordinance, the summary terms of which are included herein, has been finally adopted by the governing body of the City of East Orange, in the County of Essex, State of New Jersey, on Monday, September 14, 2020. The purpose of the ordinance is to approve applications submitted by Brick Church Urban Renewal I LLC, Brick Church Urban Renewal II LLC, Brick Church Urban Renewal III LLC, Brick Church Urban Renewal IV LLC, Brick Church Urban Renewal V LLC, and Brick Church Urban Renewal VI LLC (each an “Entity”) to make payments to the City in lieu of taxes in connection with the redevelopment of various parcels identified as: 533 Dr. Martin Luther King, Jr. Boulevard, also identified ss Block 683, Lot 1; 15-33 Halsted Street, also identified as Block 683, Lot 1.01; 505 Dr. Martin Luther King, Jr. Boulevard, also identified as Block 683, Lot 4.01; 507 Dr. Martin Luther King, Jr. Boulevard, also identified as Block 683, Lot 4.02; and 513-517 Dr. Martin Luther King, Jr. Boulevard, also identified as Block 683, Lot 5, and authorizes the Mayor to execute Financial Agreements between the City and each respective Entity. Any action or proceeding of any kind or nature in any court questioning the validity or proper authorization of such ordinance or the actions authorized to be taken as set forth in the ordinance shall be commenced within 20 days of the date of publication of this notice, as required by N.J.S.A. 40A:20-12. BOULEVARD, ALSO IDENTIFIED AS BLOCK 683, LOT 1, IN THE CITY OF EAST ORANGE, IN THE COUNTY OF ESSEX, STATE OF NEW JERSEY, AUTHORIZING THE SUBSIDY OF CERTAIN NON-RECOURSE BONDS OR NOTES TO BE ISSUED IN CONNECTION THEREWITH IN AN AMOUNT NOT TO EXCEED $9,500,000, AND AUTHORIZING THE EXECUTION OF CERTAIN AGREEMENTS IN CONNECTION THEREWITH

NOTICE IS HEREBY GIVEN that the foregoing ordinance, the summary terms of which are included herein has been finally adopted by the governing body of the City of East Orange, in the County of Essex, State of New Jersey, on Monday, September 14, 2020. Any action or proceeding of any kind or nature in any court questioning the validity or proper authorization of such ordinance or the actions authorized to be taken as set forth in the ordinance shall be commenced within 20 days of the date of publication of this notice, as required by the Redevelopment Area Bond Financing Law, N.J.S.A. 40A:12A-64 et seq., particularly N.J.S.A. 40A:12A-66(d). This notice was first published on September 21, 2020. Pursuant to N.J.S.A. 40:49-2, as amended, further notice is hereby given that the purpose of the foregoing ordinance is to impose a special assessment with respect to $9,000,000 of certain stormwater and sanitary sewer improvements and environmental remediation (together with soft costs and financing costs relating thereto) in the area of 533 Dr. Martin Luther King, Jr. Boulevard, also identified as Block 683, Lot 1, to authorize the subsidy of non-recourse bonds or notes in an amount not to exceed $9,500,000, and to authorize the execution of certain agreements in connection therewith. RESOLUTION OF THE CITY OF EAST ORANGE, IN THE COUNTY OF ESSEX, NEW JERSEY DECLARING AN EMERGENCY AND WAIVING THE ESTOPPEL PERIOD FOR ORDINANCE NOS. 31 OF 2020, 32 OF 2020, AND 33 OF 2020 AUTHORIZING THE EXECUTION OF FINANCIAL AGREEMENTS FOR PAYMENTS IN LIEU OF TAXES WITH BRICK CHURCH URBAN RENEWAL I LLC, BRICK CHURCH URBAN RENEWAL II LLC, BRICK CHURCH URBAN RENEWAL III LLC, BRICK CHURCH URBAN RENEWAL IV LLC, BRICK CHURCH URBAN RENEWAL V LLC, AND BRICK CHURCH URBAN RENEWAL VI LLC AND PROVIDING FOR SPECIAL ASSESSMENT OF THE COST OF CERTAIN STORMWATER AND SANITARY SEWER IMPROVEMENTS, ENVIRONMENTAL REMEDIATION, AND OTHER SITE IMPROVEMENTS IN THE AREA OF BLOCK 683, LOT 1 WHEREAS, on September 14, 2020, the City Council adopted Ordinance No. 31 of 2020, authorizing the execution of financial agreements for payments in lieu of taxes with each of the Brick Church Urban Renewal I LLC, Brick Church Urban Renewal II LLC, Brick Church Urban Renewal III LLC, Brick Church Urban Renewal IV LLC, Brick Church Urban Renewal V LLC, Brick Church Urban Renewal VI LLC pursuant to the Long Term Tax Exemption Law and the Redevelopment Area Bond Financing Law; and WHEREAS, on September 14, 2020, the City Council adopted Ordinance No. 32 of 2020, to provide for the Special Assessment of the cost of certain stormwater and sanitary sewer improvements and environmental remediation on Block 683, Lot 1, authorizing the subsidy of certain non-recourse bonds or notes to be issued in an amount not to exceed $9,500,000 and authorizing the execution of certain agreements therewith; and WHEREAS, on September 14, 2020, the City Council adopted Ordinance No. 33 of 2020 (combined with Ordinance Nos. 31 of 2020 and 32 of 2020, collectively “Ordinances”), to provide for the Special Assessment of the cost of certain stormwater and sanitary sewer improvements, environmental remediation and other site improvements on Block 683, Lot 1 authorizing the subsidy of certain non-recourse bonds or notes to be issued in an amount not to exceed $11,000,000 and authorizing the execution of certain agreements therewith; and WHEREAS, the Ordinances provide that they shall take effect according to law, which is generally upon the expiration of twenty (20) days following the date of its publication after final adoption (the “Estoppel Period”); and WHEREAS, the City deems it imperative and emergent that the Ordinances become effective immediately: (i) so that the Project (as defined in the Ordinances) may apply to the New Jersey Housing and Mortgage Finance Agency for Low Income Housing Tax Credits, thereby effectuating the development of the Project (as defined in the Ordinances); and (ii) because the Project (as defined in the Ordinances) addresses the health, safety, and general welfare of the City’s citizenry with respect to the City’s provision of affordable housing; and WHEREAS, the City Charter, Section C-43 and N.J.S.A. 40:103-5(113), provide that the Estoppel Period may be waived if the City Council, with no less than two-thirds of its membership concurring, finds by resolution that an emergency exists that necessitates the waiver of the Estoppel Period, NOW THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF EAST ORANGE, IN THE COUNTY OF ESSEX, NEW JERSEY (NO LESS THAN TWO-THIRDS OF ITS MEMBERSHIP AFFIRMATIVELY CONCURRING) AS FOLLOWS: Section 1. The aforementioned recitals are incorporated herein as though fully set forth at length. Section 2. The City Council hereby finds and declares that an emergency exists which requires the Ordinances to take effect immediately. Section 3. The City Council, in accordance with City Charter, Section C-43 and N.J.S.A. 40:103-5(113), hereby directs that as such an emergency exists, the Estoppel Period pertaining to the Ordinances shall be waived, and the Ordinances shall become effective immediately upon publication after final passage.
